| Adjustment of Futures and Options contracts on account of Scheme of Arrangement of Adani Enterprises Ltd. |
Trading Members of the Exchange are hereby informed that, Adani Enterprises Ltd.(AEL) has fixed the Record Date for the purpose of determining entitlement to the shareholders of the Company pursuant to the Scheme of Arrangement (Demerger) of the Company approved by the Hon’ble High Court of Gujarat at Ahmedabad.
Upon the Scheme becoming effective and in consideration of the demerger and transfer of Port Undertaking, Power Undertaking and Transmission Undertaking of Adani Enterprises Ltd. in Adani Ports and Special Economic Zone (APSEZ), Adani Power Ltd (APL) and Adani Transmission Ltd. (ATL) respectively, in terms of the Scheme, the equity shareholders of AEL whose names appear in the Register of Members of AEL as on the Record Date i.e. Thursday, 4th June 2015 will be allotted in the following proportion:
- 14,123 equity shares in APSEZ of Rs. 2/- each credited as fully paid up for every 10,000 equity shares of Re. 1/- each held in AEL.
- 18,596 equity shares in APL of Rs. 10/- each credited as fully paid up for every 10,000 equity shares of Re. 1/- each held in AEL.
- 1 equity share in ATL of Rs. 10/- each credited as fully paid up for every 1 equity shares of Re. 1/- each held in AEL.
The Exchange shall make the necessary adjustments for all the available Futures & Options contracts on the underlying scrip Adani Enterprises Ltd.(Derivatives Asset Code – ADEL), on Tuesday,June 2, 2015 end of day, the ‘ex-date’ being Wednesday, June 3, 2015.
All existing contracts i.e. contracts with expiry dates June 25, 2015,July 30, 2015 and August 27, 2015 will expire on June 2, 2015.Derivatives contracts on Adani Enterprises Ltd. (Derivatives Asset Code – ADEL) shall be reintroduced from June 3,2015 being the ex-date of the underlying.
